Foreign clients (USA, EU) are accustomed to international Master Services Agreement (MSA) standards with clear provisions on arbitration, intellectual property and confidentiality. Standard Soviet-Ukrainian contract forms for subcontracting raise suspicion. We draft contracts according to international Anglo-American law standards with parallel Ukrainian translation.

This is the most important clause of the contract. By default, in legislation, rights may remain with the author. We formulate this clause as: either rights transfer at the moment of full payment for the corresponding stage of work (safe for the developer), or at the moment of creation of the object (a requirement of foreign investors). We balance the risks of both sides.

Ukrainian legislation recognizes non-disclosure agreements, especially within the context of the Diia.City regime. For an NDA to have real force, it must clearly define the list of information that is confidential, the method of its marking, and a fixed penalty amount for each proven breach.

In a Fixed Price contract, the contractor bears the risk of time re-evaluation and is obligated to deliver the entire result for a fixed sum. In a Time & Materials agreement, the client pays for the actual hours spent according to the time tracker, but the contractor is obligated to regularly provide detailed reports on completed tasks.

We include the provisions on the order of acceptance and transfer: after providing the result, the client has a clear deadline (for example, 7 calendar days) for checking. Amendments are accepted exclusively within the framework of the initial TZ. If there is no justified refusal during this period — the stage is considered accepted and subject to payment.
