[ FREQUENT QUESTIONS ]

Answers to common questions from customers

Key details regarding terms, independent website editing, and rights transfer.

The company must meet 3 basic criteria: 1) no less than 90% income must come from permitted types of IT activities; 2) the number of employees under labor contracts or gig specialists amounts to no less than 9 persons; 3) the average monthly salary of specialists amounts to no less than the equivalent of €1200 according to the NBU exchange rate. For new startups, the first two criteria may be relaxed for the first 2 years.

Working with a sole proprietor carries the risk that the tax authorities may classify the relationship as disguised employment (with 18% personal income tax and penalties assessed). A gig contract is recognised by law, has clear tax rates (5% personal income tax, 1.5% military levy, and 22% unified social contribution calculated on the minimum wage), allows the working schedule, holidays, and sick leave to be explicitly specified, and permits non-compete agreements (NCA).

In ordinary civil law, non-compete clauses were considered invalid as restrictions on the right to work. However, the Law on Diia.City specifically introduced the NCA institution: if the agreement is compensatory, time-limited (up to 12 months) and territorially limited, it is deemed valid on 100% and is protected in Ukrainian courts.

Under the classical system, the company pays 18% of the entire profit every quarter. When choosing PnVK, the rate is only 9% and is paid exclusively at the moment of actual dividend payment to owners. If the company reinvests the profit in product development, server purchases or marketing — corporate tax equals 0%!

A resident must submit an Initial Compliance Report to the Ministry of Digital Transformation (6 months after joining) and subsequent Annual Compliance Reports (by 1 June each year), supported by an opinion from an independent auditing company.
